It's just EULA nonsense, if its a good mate it won't matter. It's probably not 100% legal but.
The software is dirt cheap these days anyway, who knows why they're being difficult about it all.

more than warranty, it will no longer belong to me. I couldn't sell, RMA, or install it legally. Neither could I upgrade or crossgrade.
From what I have been told, this will be the way for all new releases of hardware.
As the serial is already registered to me, I have to de-register the F1, transfer ownership to him and at any time he could refuse to give it back and I don't have a legal leg to stand on.

Well if you don't really know the guy then yeah sure I get what you're saying, but you wouldn't have to give him the actual unit.
But otherwise dude you need some more trustworthy friends.
Nothing to do with Spain, it is NI Germany who made the rules.
The same thing has been raised on the NI forums and their position is clear.
If you buy the F1, the software with it can only be registered with BOTH serial numbers. The NI hardware one that starts with 1401- and the NI software one starting with 1301.
When you go to register the software it redirects you to an F1 registration page

If he registers the F1, it will legally belong to him (at least the only ownership papers will reflect that).
There is no way around it ... try it if you don't believe me, it will only cost you $300 to find out.

I understand NI's position on registration, what I'm saying is that at least in this country, product registration does not constitute legal ownership. Native Instruments can decide who holds a software licence, but its not up to them to decide who owns a piece of hardware.
What people in this thread are having trouble understanding, I think, is why you would give him the actual F1 unit, rather than simply giving him the serial number. Your concerns about warranty and upgrades and such are certainly valid, but you would not give up ownership of your F1.
If it works the same way traktor does, you can install the software past the cap that the terms of use states. I think you're only allowed two installs per license and I easily have it on about 5 computers of mine by now, maybe the F1 registering works the same?
Find out if you can have your F1 registered to more than one copy of traktor (call up and ask if you can install it on more than one computer), and if you can just let your friend register through both the F1 and the traktor license of yours.
